By accessing or using Veztra's freight invoice auditing services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

Veztra provides automated freight invoice auditing services designed to identify billing errors, overcharges, and discrepancies in your shipping invoices. Our services include:

• Automated line-item invoice auditing
• Rate and contract compliance verification
• Identification of duplicate charges and billing errors
• Claim filing and dispute management with carriers
• Recovery tracking and reporting

As a client, you agree to:

• Provide accurate and complete freight invoices, carrier contracts, and rate agreements
• Grant necessary permissions for us to file claims on your behalf
• Respond promptly to requests for additional documentation
• Not misrepresent information or submit fraudulent documents
• Maintain the confidentiality of your account credentials

Veztra operates on a contingency fee basis. This means:

• There is no upfront cost for our auditing services
• You only pay when we successfully recover funds on your behalf
• Our fee is a percentage of the recovered amount, as specified in your service agreement
• Payment is due within the timeframe specified in your agreement after recovery confirmation

Specific fee structures and payment terms will be detailed in your individual service agreement.

By using our services, you authorize Veztra to:

• Review and audit your freight invoices and related documents
• Contact carriers on your behalf regarding billing disputes
• File claims and requests for credits with carriers in your name
• Negotiate settlements for identified overcharges
• Receive information from carriers regarding your shipping accounts

We treat all client information as confidential. We will not disclose your business data, shipping volumes, carrier contracts, or rates to any third party except as necessary to perform our services or as required by law.

Similarly, you agree to maintain the confidentiality of any proprietary methods, processes, or findings that Veztra shares with you in the course of providing services.

To the maximum extent permitted by law, Veztra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from or related to our services shall not exceed the fees paid by you to Veztra in the twelve (12) months preceding the claim.

Veztra does not guarantee any specific amount of recovery. Results vary based on your shipping volume, carrier relationships, and billing accuracy.

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or that all billing errors will be identified.

Either party may terminate the service agreement with written notice as specified in your individual contract. Upon termination:

• Veztra will complete processing of any claims already in progress
• You remain responsible for fees on any recoveries resulting from audits or claims initiated during the service period
• Confidentiality obligations survive termination

These Terms shall be governed by and construed in accordance with the laws of Canada and the province in which Veztra operates, without regard to its conflict of law provisions.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date and, where appropriate, providing additional notice. Continued use of our services after changes constitutes acceptance of the new terms.
